Terms of Service — VideoJoy

Please read these Terms of Service ("Terms") carefully before using the VideoJoy platform ("Service"), operated by VideoJoy, a brand of Azimut Agency OÜ, a company registered in the Republic of Estonia ("VideoJoy," "we," "us," or "our"). By creating an account, subscribing to a plan, or accessing any part of the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

VideoJoy is a subscription-based creative service that produces short-form AI-generated video advertisements on behalf of subscribing brands and businesses. Each subscription entitles one active client ("you" or "Subscriber") to submit one video production request at a time, with a maximum turnaround time of 3 business days per delivery.

Video deliverables are:

15 seconds or 30 seconds in duration
Available in vertical (9:16), square (1:1) or horizontal (16:9) format
Produced for social media and/or TV broadcast use
Delivered digitally through the VideoJoy client dashboard

2. Eligibility & Account Registration

To use VideoJoy, you must be at least 21 years old and have the legal authority to enter into a binding agreement on behalf of yourself or the company you represent. By registering, you confirm that all information you provide is accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. Subscription Plans & Billing

3.1 Subscription

VideoJoy operates on a monthly recurring subscription model. Your subscription begins on the date you complete your first payment and renews automatically every 30 calendar days unless cancelled.

3.2 Payment Processing

All payments are processed securely through Stripe, Inc. By subscribing, you authorize VideoJoy to charge your chosen payment method via Stripe on a recurring monthly basis. VideoJoy does not store your credit card or banking details — all payment data is handled exclusively by Stripe in accordance with their PCI-DSS compliance standards. By providing your payment information, you also agree to Stripe's Terms of Service, available at stripe.com/terms.

3.3 Pricing

The subscription price is displayed at the time of purchase and may be updated with reasonable prior notice. Price changes will not apply to your current billing cycle — they will take effect from the next renewal date. We will notify you of any price changes via email.

3.4 Failed Payments

If a payment fails, we will attempt to retry the charge. If payment cannot be collected after reasonable attempts, your account may be suspended until payment is resolved. You will be notified by email in the event of a payment failure.

3.5 Refunds

All subscription fees are non-refundable. Because VideoJoy allocates creative capacity to each subscriber immediately upon payment, we do not offer pro-rated refunds for partial months or unused capacity. If you are unsatisfied with a delivery, you may request a revision as described in Section 5.

4. Cancellation & Pausing

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period — you will retain access to the Service until that date. No further charges will be made after cancellation is confirmed.

If you wish to pause your subscription rather than cancel, please contact us at support@videojoy.pro. You are entitled to pause your subscription up to 2 times per calendar year, for a combined total pause period not exceeding 6 months. Pause requests submitted within these limits will always be granted. Pauses beyond these limits are subject to our discretion.

5. Video Requests, Revisions & Turnaround

5.1 One Active Request at a Time

VideoJoy operates a queue-based production model. Only one video request may be active at any given time. A new request may be submitted once the current request has been marked as Completed.

5.2 Turnaround Time

We aim to deliver each video within 3 business days of receiving a complete brief with all required materials (brand assets, references, script, etc.). Turnaround time begins only when a fully completed brief has been submitted. Incomplete briefs may delay delivery.

5.3 Revisions

Each video request includes one round of revisions. Revision requests must be submitted through the dashboard messaging system within 5 business days of delivery. Revisions are limited to adjustments within the scope of the original brief (timing, copy, color, music). Requests that substantially change the creative direction may be treated as a new request at our discretion.

5.4 Brief Requirements

To produce your video, you are responsible for providing accurate brand information, visual assets, and any required content. VideoJoy is not liable for errors or inaccuracies that result from incomplete, incorrect, or misleading briefs submitted by the Subscriber.

6. Intellectual Property & Commercial License

6.1 License Grant

Upon full payment and delivery, VideoJoy grants you a non-exclusive, perpetual, worldwide, royalty-free license to use, display, reproduce, and distribute the delivered video(s) for commercial purposes, including digital advertising, social media, and TV broadcast. This license is irrevocable as long as your account remains in good standing at the time of delivery.

6.2 Ownership

VideoJoy retains ownership of the underlying production process, tools, techniques, and AI-generated assets used in the creation of your videos. You own the right to use the final delivered video as described in Section 6.1, but not the underlying source files, project files, or raw AI outputs unless explicitly agreed otherwise in writing.

6.3 Your Content

You retain full ownership of any brand assets, logos, images, scripts, or other materials you upload to VideoJoy. By uploading materials, you grant VideoJoy a limited license to use them solely for the purpose of producing your requested videos. You represent and warrant that you own or have the necessary rights to all materials you submit.

6.4 Portfolio Rights

VideoJoy reserves the right to display delivered videos in its portfolio, website, and marketing materials unless you explicitly request otherwise in writing prior to delivery.

7. Acceptable Use

You agree not to use VideoJoy to produce content that:

Is unlawful, defamatory, fraudulent, or deceptive
Infringes the intellectual property rights of any third party
Contains or promotes hate speech, discrimination, or violence
Is sexually explicit or pornographic
Promotes illegal products, services, or activities
Violates any applicable advertising standards or broadcasting regulations

VideoJoy reserves the right to refuse, modify, or cancel any request that violates these guidelines, without refund, at our sole discretion.

8. Email Communications

By creating a VideoJoy account, you agree to receive the following types of email communications from us:

Transactional emails: account confirmation, password reset, brief status updates, video delivery notifications, and billing receipts — these are essential to the Service and cannot be opted out of while your account is active
Service emails: updates about your requests, revision confirmations, and dashboard activity
Promotional emails: news, special offers, and feature announcements from VideoJoy

You may opt out of promotional emails at any time using the unsubscribe link included in each email. Opting out of promotional emails does not affect transactional or service communications.

We do not sell or share your email address with third parties for their own marketing purposes.

9. Privacy

Your use of VideoJoy is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, and protect your personal information. By using the Service, you consent to the data practices described in the Privacy Policy.

10. Limitation of Liability

To the fullest extent permitted by applicable law, VideoJoy and its owners, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to loss of revenue, loss of data, or loss of business opportunity.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the total amount paid by you to VideoJoy in the 30 days immediately preceding the event giving rise to the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

AI-generated content may occasionally contain errors, unexpected outputs, or limitations. VideoJoy does not guarantee that any delivered video will meet specific performance, engagement, or conversion outcomes.

12. Indemnification

You agree to indemnify, defend, and hold harmless VideoJoy and its affiliates, officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) any content or materials you submit; or (d) your infringement of any third-party rights.

13. Modifications to the Service or Terms

VideoJoy reserves the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We also reserve the right to update these Terms at any time. When we make material changes, we will notify you by email and update the Effective Date at the top of this document. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the revised Terms.

14. Governing Law

VideoJoy is a brand of Azimut Agency OÜ, a company registered in the Republic of Estonia. Accordingly, these Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Estonia.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and VideoJoy with respect to the Service and supersede all prior agreements, representations, and understandings.
